Raya Holding for Financial Investments has decided not to proceed with the proposed acquisition of Raya Foods by Helios Investment Partners after certain key conditions required to complete the transaction were not fulfilled.
The company said its board of directors, at a meeting held on 2 September 2026, resolved to discontinue the transaction referenced in its board decision of 11 January 2026 concerning the amended offer submitted by Helios Investment Partners to acquire 100% of Raya Foods’ share capital.
Raya Holding said the decision followed a careful review of the requirements for completing the transaction and reflects its responsibility towards shareholders and commitment to making investment decisions that generate sustainable value across its portfolio.
The company stressed that Raya Foods remains a strategic asset within its investment portfolio and one of Egypt’s prominent exporters of frozen vegetables and fruits.
Raya Foods exports its products to more than 50 countries worldwide and represents a key foreign currency-generating asset for the group, with around 95% of its revenues generated in foreign currencies.
Raya Foods will continue to focus on its operational and expansion plans, strengthening its export capabilities and capitalising on growing opportunities in international markets, Raya Holding said.
The company added that these efforts are aimed at reinforcing Raya Foods’ position as a leading player in Egypt’s export-oriented food industries sector.
Raya Holding said its portfolio management strategy is based on the continuous evaluation of investment opportunities and partnerships according to clear strategic and commercial criteria, with priority given to investments capable of generating sustainable value and enhancing the competitiveness of its subsidiaries.
The company also noted that the success of long-term investments in the Egyptian market requires a clear vision, long-term commitment, a deep understanding of market dynamics and needs, as well as the ability to efficiently execute investment plans.
